By accessing or using Click Up's platform, website, applications, and services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Services.
These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Click Up. We reserve the right to modify these Terms at any time, with changes effective upon posting.
2. Account Registration
To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 16 years old to create an account. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Use of Services
You are granted a limited, non-exclusive, non-transferable, revocable license to use our Services subject to these Terms. You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any part of the Services or related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated systems (bots, scrapers) to access the Services without permission
- Upload malicious code, viruses, or harmful content

- Use the Services to send spam or unsolicited communications
4. Subscription Plans & Billing
Click Up offers both free and paid subscription plans. For paid plans:
- Billing occurs on a monthly or annual basis depending on your chosen plan
- Prices are listed in USD and may be subject to applicable taxes
- Subscriptions auto-renew unless cancelled before the renewal date
- We reserve the right to modify pricing with 30 days' advance notice
- Downgrading your plan may result in loss of certain features or data
5. User Content
You retain ownership of all content you create, upload, or share through the Services ("User Content"). By using the Services, you grant Click Up a limited license to host, store, display, and process your User Content solely for the purpose of providing the Services.
You are responsible for ensuring that your User Content does not violate any applicable laws, third-party rights, or these Terms. We reserve the right to remove User Content that violates these Terms.
6. Intellectual Property
The Services, including all software, designs, text, graphics, logos, icons, and other content created by Click Up, are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without written permission.
The Click Up name, logo, and all related product names, design marks, and slogans are trademarks of Click Up. You may not use these without prior written consent.
7. Third-Party Integrations
Our Services may integrate with third-party applications and services. These integrations are provided "as is" and we make no warranties regarding third-party services. Your use of third-party services is subject to their respective terms and privacy policies.
8. Service Availability
We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency security updates
- Force majeure events beyond our control
- Third-party service outages
9. Termination
Either party may terminate the agreement at any time. You may close your account through account settings or by contacting support. We may suspend or terminate your access if you violate these Terms or if required by law.
Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination, during which you may request data export. After this period, data will be permanently deleted.
10. Limitation of Liability
To the maximum extent permitted by law, Click Up shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.
Our total liability for any claim arising from or related to the Services shall not exceed the amount you paid to Click Up in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Click Up and its officers, directors, employees, and agents harmless from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law.
